These Terms of Service ("Terms") govern your purchase and use of the software packages and related services provided by Keen River Partner ("we," "us," or "our"). By purchasing a package or using our services, you ("you" or the "Client") agree to these Terms.
We are an authorized reseller of business software, including e-commerce, marketing automation, and AI tools, delivered in one-time-priced packages (Essentials, Professional, and Enterprise). Upon purchase and setup, you are granted a non-exclusive, non-transferable license to use the software and configured components for your own business. Package scope is defined in the package description and any written scoping summary agreed before work begins.
Package prices are one-time fees for the configuration and delivery described in each package. Unless expressly stated in writing, package fees do not include recurring subscriptions, and any third-party services you elect to use (such as payment processing, messaging, or hosting fees charged by other providers) are your responsibility. Fees are due as agreed at purchase.
All sales are final except for a full refund requested within 72 hours of purchase and before implementation has begun, as described in our Refund Policy. After that window, or once implementation has begun, all sales are final and non-refundable.
You agree to use the software and services lawfully. You will not:
You are responsible for providing accurate business information, timely access to accounts and assets we need to complete setup, and any required approvals. You are responsible for your own legal and regulatory compliance (including consent for marketing communications and applicable tax obligations) and for maintaining valid credentials with third-party providers.
The underlying software, platform, and any tools, templates, and materials we provide remain the property of their respective owners and licensors. Content you provide to us remains yours. Upon full payment, you own the business-specific configuration and content we deliver to you, subject to the licenses of any underlying third-party software.
Each package includes guided onboarding and training on the tools you receive, plus a support window as described in your package. Support covers correcting delivered components that do not function as described; it does not include unlimited custom development or business consulting beyond the agreed scope.
We do not guarantee any income, revenue, sales, savings, or business result. Software is a tool; outcomes depend on many factors outside our control, including your market, effort, and execution. Nothing on this site or in these Terms constitutes a promise or guarantee of financial performance.
To the maximum extent permitted by law, Keen River Partner and its suppliers are not liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or related to the software or services. Our total aggregate liability for any claim shall not exceed the amount you paid for the package giving rise to the claim. The services are provided "as is" and "as available" without warranties of any kind except as expressly stated in writing.
Our packages may configure or integrate third-party services. Your use of those services is governed by their own terms, and we are not responsible for their availability, pricing changes, or actions.
We may update these Terms from time to time. Material changes will be reflected by the "last updated" date above. Your continued use of the services after an update constitutes acceptance of the revised Terms.
